Role Summary: Providing corporate legal support but not limited to the preparation of corporate documents such as board's resolutions, powers of attorney, director appointments/registrations, company registrations (incorporation, capital increase, liquidation, etc.). Additional support to legal team in relation to other legal matters such as commercial, financing and disputes. Personal Responsibilities:

- Conducting legal analysis and research on various legal matters ;
- Providing advice on different legal issues and drafting the necessary commercial, legal and reporting documentation as and when required (such as, but not limited to : asset or share purchase agreements, loan agreements, non-disclosure agreements as well as memoranda, reports and other briefing documents). Being involved in the preparation of templates ;
- Gathering and reviewing the documentation to be attached to the documentation described above ;
- Reviewing legal material and any other relevant documents and identifying the most important issues that need to be sorted out on a priority basis ;
- Assisting colleagues with the contractual / legal technicalities of transactions.
- Attending to a variety of meetings and preparing / drafting the relevant minutes ;
- Preparing, gathering and analyzing documentation to be discussed / tabled during meetings ;
- Liaising with the relevant third parties in charge of the formal execution of the relevant minutes. Being in charge of the follow-ups of the meetings and communicating with the team about the same. Following-up on the implementation of decisions as and when applicable
Shared tasks :
- Organising board and general meetings ;
- Reviewing financial statements, supervising the audit and approval process of the same ;

Profil recherché


- Master degree in commercial law ;
- Bar accreditation ;
- Excellent initiative, Proactive, Team player, Communication and interpersonal skills
- Comfortable with commercial matters and enthusiastic to work in a business environment ;
- 2 to 5 years of experience in a law firm (including traineeship) ;
- Excellent drafting skills ;
- Excellent in both English and French ;

Complementary Skills Candidates must have excellent interpersonal and communication skills given that the attorney will have extensive interaction with the business units
- Candidates should work well under pressure, be able to manage shifting priorities in their day to day workload and be dynamic
- A positive "can-do" service based attitude and a team spirit are pre-requisites for working in the team
- Strong analytical and problem solving abilities and organizational skills
- Team player with ability to work independently
