YOUR IMPACT

As Senior Legal Counsel, Corporate Finance you will:

• Run transactions from term sheet to closing whether related to any type of financings but also shipbuilding contracts and delivery of vessels in conjunction with the commercial and technical teams within the Finance Department.
• Provide expert legal input and undertake drafting and negotiation of contracts associated to asset financings such as traditional loan facilities, ECA financings, structured financings such as tax leases or off-balance sheet schemes, hedging agreements (ISDA, CSA).
• Provide expert legal input and undertake drafting and negotiation of contracts associated to corporate financing such as revolving credit facility, bond issuance, securitization, reverse factoring etc-
• Provide expert legal input and undertake drafting and negotiation of contracts related to construction, supervision and delivery of container carriers, cruise vessels, etc. but also sale and purchase of such vessels.
• Provide expert legal input and undertake drafting and negotiation of contracts related to cash investment products.
• Drive negotiation of legal terms with external counterparties and liaise efficiently with external advisers when putting in place the financings.
• Put in place and implement procedures to facilitate day to day work of the team such as follow up and validation of expenses, opening of bank accounts, KYC process and update of the archiving system.
• Monitor and ensure consistent views amongst the group commitments and compliance with contractual terms and report to Finance Directors on issues with recommended resolutions.

YOUR BACKGROUND

• Proven experience in and expertise at negotiating and drafting related financing agreements including with multilateral institutions, commercial banks, export credit agencies and leasing companies.
• Minimum of 8 years of work experience in Financing related legal positions, preferably in private practice with a focus on asset financing or corporate financing.
• Perfect command of English and French both written and spoken.
• UK qualification ideally.
• Ability to operate within a small team in a demanding & dynamic environment where confidentiality is key.
• Reactive, hard worker and attentive to details.

• Based in Geneva.
• Full Time.

• EU citizenship or valid Swiss work permit is required.
