The role involves supporting the business development team in M&A, joint venture, and tender projects, collaborating with the engineering and procurement teams in drafting and negotiating commercial contracts for development projects, and providing legal guidance to project management regarding operational matters. Additionally, the position includes advising internal clients on legal aspects and associated risks in documentation and business decisions, as well as supporting the management approval process.

Main Responsibilities:

  • Draft, interpret, and review legal documentation for diverse transactions, including M&A, joint ventures, and various commercial matters such as construction, equipment procurement, consulting, and IT.
  • Assist in negotiating contractual documentation across different jurisdictions for M&A, joint ventures, development, and expansion projects, evaluating and advising on associated legal risks.
  • Provide practical and business-oriented legal counsel on operational matters, potential disputes, and ongoing disputes, gathering relevant information for resolution.
  • Support corporate governance and maintain records for group companies.
  • Develop transaction, customer, and supplier contract templates, along with guidelines and standards for tenders to contractors and subcontractors.
  • Oversee contract approval and documentation management processes.
  • Efficiently manage projects and tasks to completion in alignment with the company's goals and objectives.
  • Collaborate closely with other company functions, including finance, tax, insurance, competition, and compliance, to ensure their interests are considered in contractual agreements.
  • Coordinate with external legal advisers when necessary.

Description du profil :

  • Admitted to the Bar (past or present) with 2-8 years PQE in a law firm.
  • Substantial practical experience in corporate and M&A transactional work. Experience on public-private partnerships, public tenders and concessions is a strong advantage.
  • Experience in contract and commercial law, including a working knowledge of FIDIC suite of contracts.
  • Knowledge of English law - including UK qualification - is an advantage.
  • Excellent speaking and writing skills in English, with a strong preference on native speakers. Other main European languages or an Asian language are an advantage.
  • Strong drafting and negotiation skills.
  • Ability to proactively assist internal clients and provide innovative solutions.
  • Ability to work independently while keeping others informed.
  • Ability to work well under pressure, to respect deadlines and to assume responsibilities.
  • Proficient in Microsoft Office Suite applications.
